Notice of Meeting to Vote on Proposed ITS Texas Bylaws Amendment

This serves as notice that the ITS Texas Board of Directors will hold a meeting to amend the ITS Texas Bylaws as a part of the ITS Texas Business Meeting Luncheon at the Omni Mandalay Hotel at Las Colinas in Irving, Texas on Friday, November 15. The Business Meeting will be from Noon to 1:30 pm Central Time at the Mandalay Ballroom.


The current Bylaws and the proposed amendments to the Bylaws are able for your review below.


Proposed changes include the following:

  • Deletion of the following text: “Only one representative of an Agency Member may serve on the Board of Directors at any one time.”

  • Addition of the following text: “Only one representative of an Agency member may be voted to the Board of Directors at the time of the first contested election.  However, if during the course of service on the Board of Directors, a Board member should change employment to the same Agency as another Board member – and provided that the Board members are not in the same contested election – then an Agency member may have more than one representative on the Board of Directors.”

  • Deletion of an obsolete reference to a previous edition of Bylaws.

  • Relocation of text for additional relevance.

  • Addition of the word “be” for grammatical correction.

  • Formatting changes.


If you attended the 2018 Annual Meeting or if you register to attend the 2019 ITS Texas Annual Meeting, you will be a member of ITS Texas and eligible to vote on the Bylaws amendment at the Annual Meeting. If you have any questions about the bylaw amendments, please contact Marian Thompson at
